(NASDAQ:STI), a diversified electrical machinery manufacturer, has been notified by the Nasdaq Stock Market of its failure to comply with certain listing requirements. The Dallas-based company, formerly known as Nubia Brand International Corp., was notified that for the past 30 consecutive business days, the market value of its publicly held common stock has not met the $15 million threshold, as required by Nasdaq Listing Rule 5450(b)(2)(C).
The notice, received Monday, does not immediately impact Solidion’s Nasdaq listing. The company has been given 180 days, through Feb. 24, 2025, to regain compliance. To do so, Solidion must close the market value of its publicly held shares at $15 million or more for at least 10 consecutive business days during that time frame.
In addition, Solidion has received a separate notice regarding its failure to maintain the minimum market value of listed securities (MVLS) above the $50 million required for continued listing on the Nasdaq Global Market, pursuant to Nasdaq Listing Rule 5450(b)(2)(A). The Company has the same 180-day compliance period to address this issue.
If Solidion fails to comply with the MVPHS or MVLS Rule by the deadline, it risks being delisted from Nasdaq. In such an event, Solidion may appeal the decision to a hearing panel. However, there is no guarantee of success in reversing the potential delisting decision.
Solidion CEO James Winters signed the SEC filing dated September 3, 2024, confirming receipt of the delisting risk notices. The company has expressed its intention to monitor the situation and explore options to regain compliance. This development is based on a press release and does not imply any immediate action regarding the company’s current listing status.
In other recent news, Solidion Technology, Inc. has secured $4 million through a private placement agreement with institutional investors. The financing is intended to support the company’s general working capital and administrative needs. The agreement involves the issuance of approximately 12.2 million units, which includes standard units and pre-funded units. EF Hutton has been appointed as the exclusive underwriter for the offering.
These recent developments underscore the dynamic nature of Solidion Technology’s current financial landscape. As the company navigates through these challenges and opportunities, investors are watching with interest as events unfold.
